2. Acceptance of Terms

By accessing or using the Crateful platform ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

3. Description of Service

Crateful is a business-to-business (B2B) wholesale order management platform designed for the vinyl record distribution industry. The Service enables:

Wholesalers/Distributors to upload stock lists, manage inventory, connect with retail accounts, and process orders
Retail Stores to browse wholesaler catalogues, place orders, and manage their ordering workflow

The Service includes optional integrations with third-party e-commerce platforms (Shopify, WooCommerce, Discogs) which are subject to their respective terms of service.

4. User Accounts

To use the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your password confidential and secure
Accept responsibility for all activities under your account
Notify us immediately of any unauthorised use of your account

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be fraudulent.

5. Subscription and Payment

5.1 Account Types

Wholesaler Accounts: Require a paid subscription after a 30-day free trial period. Subscription tiers include Starter, Professional, and Enterprise, each with different feature limits.

Store Accounts: Basic access is free. Optional paid features are available through the Store Pro subscription.

5.2 Free Trial

Wholesaler accounts include a 30-day free trial. At the end of the trial, you must subscribe to a paid plan to continue using wholesaler features. We will send you a reminder before your trial expires.

5.3 Payment Terms

By subscribing to a paid plan, you agree to:

Pay all fees associated with your chosen subscription tier in GBP
Provide valid payment information through our payment processor (Stripe)
Authorise automatic renewal at the end of each billing period unless cancelled

All prices are exclusive of VAT, which will be added where applicable.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or the Stripe Customer Portal. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.

6. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

Use the Service for any unlawful, fraudulent, or harmful purpose
Upload false, misleading, or inaccurate information
Attempt to gain unauthorised access to other accounts or our systems
Interfere with or disrupt the Service or its infrastructure
Use the Service to send unsolicited communications (spam)
Resell, redistribute, or sublicense the Service without our written consent
Use automated scripts, bots, or scrapers to access the Service
Upload content that infringes intellectual property rights
Violate any applicable laws or regulations

7. User Content

You retain ownership of any content you upload to the Service (including stock lists, product data, and business information). By uploading content, you grant us a limited licence to store, process, and display that content as necessary to provide the Service.

You are solely responsible for the accuracy and legality of content you upload. We do not endorse or verify user content.

8. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by CRTYX HOLDINGS LIMITED and protected by copyright, trademark, and other intellectual property laws of England and Wales and international treaties.

"Crateful" and associated logos are trademarks of CRTYX HOLDINGS LIMITED. You may not use our trademarks without prior written consent.

9. Third-Party Services

The Service integrates with third-party services including:

Stripe for payment processing
Shopify, WooCommerce, Discogs for optional e-commerce integrations

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

10. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

Where you provide us with personal data of your customers or employees, you warrant that you have the necessary consents and legal basis to share that data with us.

11. Limitation of Liability

To the maximum extent permitted by law:

The Service is provided "as is" without warranties of any kind
We do not guarantee uninterrupted or error-free operation
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold harmless CRTYX HOLDINGS LIMITED and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if:

You breach any provision of these Terms
We are required to do so by law
We reasonably believe your conduct is harmful to other users or our business

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and indemnification.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect.

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

These Terms are governed by the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also have rights under the laws of your country of residence, and nothing in these Terms affects those rights.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us
Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect
Waiver: Our failure to enforce any right does not constitute a waiver of that right
Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction
